Terms of Service for EllisIQ

These Terms of Service (“Terms”) govern your access to and use of the EllisIQ website (the “Site”). The Site is operated by Ellis Intelligence LLC, a Colorado limited liability company (“Ellis Intelligence,” “we,” “us,” or “our”). EllisIQ is a brand/product of Ellis Intelligence LLC and is not a separate legal entity.

By accessing the Site, you agree to these Terms. If you do not agree, do not use the Site.

1. Pre-Launch Status; No Service Yet

EllisIQ is in development and not yet generally available. The Site is an informational, pre-launch page that lets you learn about EllisIQ. We are not currently offering, selling, or providing the EllisIQ product, and nothing on the Site is an offer to sell or a binding commitment to provide any product or service. Features, availability, pricing, and timing described on the Site are subject to change or cancellation without notice.

2. Eligibility

You must be at least 18 years old (or the age of majority where you live) and able to form a binding contract to use the Site. The Site is not directed to children.

4. Intellectual Property

The Site and its contents — including text, graphics, logos, the EllisIQ name and marks, design, and underlying code — are owned by or licensed to Ellis Intelligence LLC and are protected by intellectual-property laws. The EllisIQ name and logo are trademarks of Ellis Intelligence LLC (claimed as common-law/™ marks; not registered ® at this time). Except for the limited right to view the Site for your personal, non-commercial information, no license or right is granted to you.

The Site may contain links to third-party websites. We do not control and are not responsible for third-party sites or their content, and links do not imply endorsement.

You agree to indemnify and hold harmless Ellis Intelligence LLC from claims and expenses arising out of your misuse of the Site or violation of these Terms.

9. Governing Law; Venue

These Terms are governed by the laws of the State of Colorado, without regard to its conflict-of-laws rules. Any dispute will be subject to the exclusive jurisdiction and venue of the state and federal courts located in / Colorado.

10. Changes to These Terms

We may update these Terms from time to time. We will revise the “Last updated” date above, and material changes will be posted on the Site. Continued use of the Site after changes take effect constitutes acceptance.

11. What Changes at Launch (Forward-Looking)

AT LAUNCH, when EllisIQ becomes generally available, these site-use Terms will be supplemented or replaced by full commercial terms, which are expected to include: a subscription/SaaS agreement or MSA, an order form / pricing terms, payment and billing terms (via Stripe), acceptable-use and service-level provisions, customer-data and confidentiality terms, a Data Processing Addendum (DPA) and sub-processor list, and updated warranty, indemnity, and liability provisions appropriate to a paid service. Until then, only these pre-launch site-use Terms apply.
